Siua is the technology practice operated by Josh, LLC. These Terms of Service (“Terms”) govern the public website, contact flow, and public Labs playgrounds described below.
1. Acceptance
By accessing siua.io (and its subdomains such as labs.siua.io), you accept these Terms in full. If you do not agree, you must not use the Service.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” will refer to that organization.
2. Description of the Service
The Service currently comprises:
- siua.io: the public website for Siua’s practice, writing, Labs, and contact flow.
- Public Labs playgrounds: evaluation previews, including the EDI Core browser playground.
The public website is live. Individual Labs surfaces state their own availability. Separately contracted production deployments are governed by their applicable agreement, not by a playground’s preview status.
3. Acceptable use
You may use the Service for lawful purposes only. You must not:
- Use the Service to transmit unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable content.
- Attempt to gain unauthorized access to any part of the Service or its infrastructure.
- Use automated review or any public tool to generate or transmit content that violates applicable law or third-party rights.
- Scrape, crawl, or index the Service in a manner that imposes unreasonable load on our infrastructure.
- Use the Service to process or transmit Protected Health Information (PHI) as defined under HIPAA.
- Use the Service to process personal data of third parties without a lawful basis under applicable privacy law.
- Reverse-engineer, decompile, or extract source code from any part of the Service not made available as open source.
- Misrepresent your identity or affiliation when contacting us.
4. Labs experiments
Public playgrounds in Labs are working evaluation previews. These terms apply to those public playgrounds, not to separately contracted production deployments. Specifically:
- Public playgrounds must not be used for production workflows or production data.
- The EDI Core playground is subject to its own EDI Labs Terms of Use.
- We may disable, modify, or remove any Labs experiment at any time without notice.
- Output produced by public Labs features is provided for evaluation and carries no warranty of accuracy.
5. Automated note review
When you choose “Review my note” on Start, your note is sent to an automated review service hosted on Cloudflare infrastructure to decide whether one optional question would help before you add contact details. You acknowledge that:
- The optional question may be incomplete, inaccurate, or unhelpful. You may skip it.
- Nothing is sent to a person at Siua until you review the material and separately choose Send.
- Do not include passwords, private records, health information, or confidential company data.
6. Intellectual property
All content on the Service, including text, design, graphics, source code, trademarks, and software, is owned by Josh, LLC or its licensors and is protected by applicable intellectual property law.
Nothing in these Terms grants you any right to use our trademarks, trade names, or logos without our prior written consent.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose. This license does not include any right to sublicense, resell, or create derivative works.
7. User submissions
If you submit content to us through Start or email, you grant Josh, LLC a non-exclusive, worldwide, royalty-free license to use that content as necessary to operate the Service and respond to you. You retain ownership of your content.
You represent that you have the rights to submit any content you provide, and that doing so does not violate any third-party rights or applicable law.
8. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, JOSH, LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND RELIABILITY.
We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy of any content, including AI-generated content or EDI parsing output.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JOSH, LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS APPLY NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).
Some jurisdictions do not allow certain limitation of liability provisions; to the extent such laws apply, our liability will be limited to the minimum extent permitted.
10. Indemnification
You agree to indemnify, defend, and hold harmless Josh, LLC and its affiliates, officers, and employees from any claim, liability, cost, or expense (including reasonable attorneys’ fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your infringement of any third-party right.
11. Third-party services
The Service relies on third-party infrastructure including Cloudflare Workers, Workers AI, AI Gateway, email delivery, database, and object storage services. We are not responsible for a third party’s availability or reliability beyond what applicable law requires.

12. Privacy
Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms.
13. Governing law and disputes
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles. Any dispute arising under these Terms will be resolved in the state or federal courts located in San Francisco County, California, and you consent to personal jurisdiction there.
14. Changes to these Terms
We may update these Terms from time to time. We will revise the effective date at the top of this page. Continued use of the Service after changes constitutes your acceptance of the revised Terms.
15. No professional advice
Nothing on this website or in any communication from us constitutes legal, financial, medical, regulatory, or other professional advice. Content published here, including blog posts, product descriptions, and AI-generated responses, is for informational purposes only. You should consult qualified professionals before taking action based on anything you read here.
If you engage Josh, LLC for consulting services, any advice provided will be governed by a separate written engagement agreement, not these Terms.
16. Force majeure
Josh, LLC will not be liable for any failure or delay in performance of its obligations to the extent caused by circumstances beyond its reasonable control, including acts of God, natural disasters, pandemic, war, civil unrest, governmental action, power or internet outages, or failures of third-party infrastructure.
17. General
Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
Waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Josh, LLC.
Assignment. You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign these Terms or any rights under them without restriction.
Entire agreement. These Terms, together with our Privacy Policy and any applicable supplemental terms (such as the EDI Labs Terms of Use), constitute the entire agreement between you and Josh, LLC regarding the Service and supersede any prior agreements or understandings.
No third-party beneficiaries. These Terms do not create any third-party beneficiary rights.
